Terms of Service

Schedule C. Effective Date: September 11, 2026

The NIH January Cohort is provided by CADA Partners LLC, a Delaware limited liability company ("CADA," "we," "us," or "our"), under our general Terms of Service (Sections 1 through 19), which apply in full and are incorporated here by reference. This Schedule C contains the product-specific terms for the cohort and supplements those general Terms. Where this Schedule and the general Terms conflict, this Schedule controls for the cohort only. By completing a purchase or typing your name as a digital signature at checkout, you agree to be bound by these Terms and this Schedule. If you do not agree, do not make a purchase.

Schedule C: NIH January Cohort ("the Cohort")

You write and submit your application. Your seat includes three recorded group sessions, application templates, one private call of up to 45 minutes, and one written review of your first Specific Aims and Research Strategy draft. There is no success fee. The scope and refund terms are set out below.

C.1 Service Description

The Cohort is a small-group, live educational and review program designed to help participants prepare and submit their own NIH SBIR or STTR Phase I application (or, where appropriate, a fast-track or Direct-to-Phase-II application) for the NIH standard receipt date of January 5, 2027. Participants write their own applications. CADA does not draft the application on the participant's behalf under this Schedule.

C.2 What Is Included

• Three (3) live group sessions of approximately ninety (90) minutes each, led by CADA's Chief Executive Officer or another CADA senior strategist, held by video conference and recorded for participants.
• One (1) private call of up to forty-five (45) minutes with a CADA senior strategist, scheduled between the first and third sessions.
• Access to CADA's application templates for the duration of the Cohort and for the participant's own use thereafter, subject to Section 7 of the general Terms.
• One (1) written review of the participant's first full draft (Specific Aims and Research Strategy) submitted by the draft deadline communicated at enrollment, returned within approximately five (5) business days.

C.3 What Is Not Included

• Drafting, editing, or submitting the application on your behalf
• Review of drafts submitted after the draft deadline, or of more than one draft
• SAM.gov, eRA Commons, Grants.gov, SBA Company Registry, or other registration services
• Budget preparation beyond the templates and session guidance
• Applications to agencies other than NIH
• Legal, regulatory, or clinical advice of any kind

C.4 Pricing

• List price: USD $3,000 per seat, collected via Stripe at checkout.
• Founding cohort price: USD $999 per seat for purchases completed on or before September 18, 2026 at 11:59 PM Eastern Time. The price displayed at checkout is the price you pay.
• Seats: the Cohort is limited to five (5) participants. Seats are allocated in order of completed payment.
• No success fee. The Cohort does not give rise to any Strategic Advisory Fee. Any later engagement of CADA to prepare an application is separate and requires a new written agreement.

C.5 Refunds

You may cancel for any reason and receive a full refund at any time before the start of the first live session. Email ana@getcada.com and the refund is issued to the original payment method within five (5) business days. After the first live session begins, no refunds are provided, because a seat cannot be resold once the Cohort is underway. If, after reviewing your intake, CADA determines the Cohort is not a suitable fit for your company (including the ownership and research-partner rules in C.7), CADA will notify you and refund you in full.

C.6 Intake, Attendance, and Recordings

You must complete the Cohort intake form within seven (7) calendar days of payment. Live sessions are recorded and shared with Cohort participants only; recordings may not be shared outside the Cohort. Missing a live session does not entitle you to a refund or a make-up session; the recording is provided instead.

C.7 Eligibility Rules You Acknowledge

NIH eligibility rules are set by NIH and change over time. You are responsible for your own eligibility. Your company's ownership, the project lead's employment, research-partner arrangements, and the requirements of the specific funding opportunity can affect which NIH SBIR or STTR paths are available. CADA screens for fit at intake but does not guarantee eligibility. A university affiliation or an ownership label alone is not enough to determine eligibility.

C.8 No Guarantee of Funding

NIH funding decisions are made by NIH. CADA makes no representation that participation in the Cohort will result in an award, a particular score, or a particular review outcome. Section 6.2 of the general Terms applies.

C.9 Group Confidentiality

Participants may discuss their technologies during live sessions. Each participant agrees to treat other participants' materials and disclosures as confidential and not to use them for any purpose other than participating in the Cohort. CADA's own confidentiality obligations are set out in Section 8 of the general Terms. Do not disclose trade secrets or unpublished data in group sessions that you would not disclose to a peer reviewer.

C.10 Grant Compliance

The Cohort fee is paid from your non-grant funds. It is not a contingent fee, is not conditioned on any award, and may not be charged to an NIH award budget. Section 9 of the general Terms applies.
